1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “Merchant”, “you”) and Scaliz Technologies Inc. (“Scaliz”, “we”, “us”). By accessing the Scaliz website, logging into the Client Portal, connecting a Google Business Profile via OAuth, or ordering custom NFC hardware, you agree to be bound by these Terms and our Privacy Policy.

2. Scope of Services

Scaliz provides a cloud-based local marketing automation platform consisting of:

• 14-Second AI Review Response Autopilot: Autonomous reading, contextual keyword injection, and API-based response publishing to Google Business Profile reviews.
• Negative Review Firewall: In-store QR/NFC routing interface that directs dissatisfied guests to private manager resolution channels with automated WhatsApp notification dispatch.
• 5x5 Geo-Grid Local SEO Radar: Pin-by-pin geospatial rank tracking across city neighborhoods for target keywords.
• Maps Post Studio: Scheduling and publishing weekly promotional updates to Google Maps profiles with tracked UTM attribution parameters.
• Custom Acrylic Smart NFC Hardware: Fabricated cast acrylic counter standees, tabletop discs, and wall plaques embedded with pre-programmed NFC microchips.

3. Google Business Profile & Merchant Policy Compliance

Scaliz operates via official Google APIs. You represent, warrant, and agree that:

• You are the verified owner, primary manager, or authorized marketing agent of any Google Business Profile connected to Scaliz.
• You will adhere strictly to Google's Merchant Guidelines, Content Policies, and Local Business Requirements.
• You will not use Scaliz to generate fraudulent, deceptive, defamatory, or prohibited content. Scaliz reserves the right to suspend or terminate any account violating third-party platform integrity rules.

4. Subscription Billing, 7-Day Free Trial & 14-Day Money-Back Guarantee

• 7-Day Free Trial: New accounts receive a 7-day unrestricted free trial with no credit card required to connect and test features.
• Recurring Subscriptions: Paid plans are billed in advance on a recurring monthly or annual basis via authorized payment gateways (UPI, Credit/Debit Card, Net Banking).

5. Physical Standee Hardware Fabrication & 1-Year Warranty

For plans that include custom acrylic Smart NFC standees:

• Hardware is fabricated to order with your verified Google Place ID and brand laser engraving, shipped via express courier with tracked delivery.
• Scaliz warrants that the internal NFC microchip will function as intended for 12 months from delivery under standard indoor retail conditions. Defective units will be replaced free of charge upon photographic verification.
• Because standees are custom laser-engraved with your storefront identity, hardware cannot be returned once physical fabrication has commenced, except in cases of shipping damage or manufacturing defect.

6. Intellectual Property & Brand Ownership

You retain all ownership rights to your business trademarks, logos, customer review content, and storefront imagery. Scaliz grants you a limited, non-exclusive, non-transferable license to access the platform during your active subscription. Scaliz Technologies Inc. retains all rights, title, and interest in its proprietary software, algorithms, and interface designs.

7. Algorithmic Disclaimers & Limitation of Liability

While Scaliz incorporates verified Local SEO best practices to maximize profile ranking and customer response rate, final Google Maps ranking positions are determined entirely by Google LLC's proprietary, autonomous search algorithms. To the maximum extent permitted by applicable law, Scaliz shall not be liable for indirect, incidental, punitive, or consequential damages resulting from search engine algorithm updates, competitor proximity changes, or temporary third-party API outages.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
